Terms of Service for PayMeRN

1. Acceptance of Terms

By accessing or using the PayMeRN mobile application ("App," "Service," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and PayMeRN.

2. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by:

• Posting the updated Terms in the App
• Updating the "Last Updated" date
• Sending you an email notification (for significant changes)

Your continued use of the App after changes become effective constitutes your acceptance of the revised Terms.

3. Description of Service

PayMeRN is a mobile application designed to help hourly workers:

• Calculate pay based on work hours and rates
• Track work schedules and shifts
• Project future earnings
• Manage pay profiles with overtime and differentials
• Calculate deductions and net pay
• Budget with lifestyle tracking tools

4. Eligibility

4.1 Age Requirements

You must be at least 13 years old to use this App. If you are under 18, you must have permission from a parent or legal guardian.

4.2 Geographic Restrictions

The App is available for use in the United States. Use outside the United States is at your own risk and you are responsible for compliance with local laws.

4.3 Account Requirements

You must provide accurate, current, and complete information during registration and keep your account information updated.

5. User Accounts

5.1 Account Creation

To use certain features, you must create an account by providing:

• Valid email address
• Password meeting our security requirements
• Work-related information (optional but recommended)

5.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your password
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

We are not liable for any loss or damage arising from your failure to protect your account credentials.

5.3 Account Termination

You may delete your account at any time through the App settings. We reserve the right to suspend or terminate accounts that violate these Terms.

6. Subscription and Payments

6.1 Free Features

Basic features of the App are available free of charge.

6.2 Premium Subscription ("Pro")

Premium features are available through a paid subscription:

• Subscription tiers and pricing are displayed in the App
• Subscriptions automatically renew unless cancelled
• Payment is processed through Apple App Store or Google Play Store
• Subscriptions are billed in advance on a recurring basis

6.3 Subscription Management

• Subscriptions can be managed through your app store account settings
• Cancellation must be done at least 24 hours before the renewal date
• No refunds for partial subscription periods
• Access to premium features continues until the end of the current billing period

6.4 Pricing Changes

We may change subscription prices at any time. Price changes will apply to future subscription renewals and you will be notified in advance.

6.5 Refund Policy

All payments are non-refundable except as required by law. Refund requests should be directed to the respective app store (Apple or Google).

7. User Responsibilities

7.1 Accurate Information

You agree to:

• Provide accurate work and pay information
• Verify all calculations independently
• Update your information when it changes
• Not rely solely on the App for tax or financial decisions

7.2 Prohibited Uses

You may NOT use the App to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Transmit malware or harmful code
• Attempt to gain unauthorized access to the App or our systems
• Reverse engineer, decompile, or disassemble the App
• Use automated systems (bots, scrapers) to access the App
• Resell or commercially exploit the App
• Impersonate another person or entity
• Harass, abuse, or harm others
• Share your account credentials with others

7.3 Employment Verification

You are responsible for verifying your employment status, pay rates, and any calculations with your employer's official payroll system.

8. Intellectual Property Rights

8.1 Ownership

The App and all content, features, and functionality are owned by PayMeRN and are protected by:

• Copyright laws
• Trademark laws
• Patent laws
• Other intellectual property laws

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to:

• Download and use the App for personal, non-commercial purposes
• Access the features according to your subscription level

This license does NOT permit you to:

• Modify or copy the App materials
• Use the materials for commercial purposes
• Remove copyright or proprietary notices
• Transfer the materials to another person

8.3 Trademarks

PayMeRN, our logo, and related marks are trademarks of PayMeRN. You may not use these marks without our prior written permission.

9. User Content and Data

9.1 Your Data

You retain all rights to the data you input into the App (work schedules, pay rates, personal information).

9.2 License to Use Your Data

By using the App, you grant us a limited license to:

• Store and process your data to provide the Service
• Use anonymized, aggregated data for analytics and App improvement
• Display your data back to you within the App

9.3 Data Accuracy

We are not responsible for:

• Errors in data you input
• Consequences of using inaccurate data
• Third-party data sources (if any)

10. Disclaimers and Warranties

10.1 "AS IS" Service

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy, reliability, or completeness of information

10.2 No Guarantee of Accuracy

WE DO NOT GUARANTEE THAT:

• The App will be error-free or uninterrupted
• Calculations will be accurate or reliable
• Defects will be corrected
• The App is free of viruses or harmful components

10.3 Tax and Financial Advice Disclaimer

THE APP DOES NOT PROVIDE:

• Tax advice or tax preparation services
• Financial planning or investment advice
• Legal advice regarding employment matters

10.4 Employment Disclaimer

PayMeRN is not affiliated with your employer. We do not:

• Verify your employment status
• Confirm pay rates or schedules
• Guarantee any employment-related information
• Have access to your employer's payroll systems

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

11.1 No Liability for Damages

WE SHALL NOT BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Business interruption
• Errors in tax calculations or withholdings
• Employment-related disputes or issues
• Reliance on App calculations

11.2 Maximum Liability

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR $100, WHICHEVER IS GREATER.

11.3 Basis of the Bargain

These limitations reflect the allocation of risk between the parties. The limitations will apply even if any limited remedy fails of its essential purpose.

12. Indemnification

You agree to indemnify, defend, and hold harmless PayMeRN, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising from:

• Your use or misuse of the App
• Your violation of these Terms
• Your violation of any rights of another party
• Inaccurate information you provide
• Tax or employment issues resulting from App use

13. Third-Party Services

13.1 Third-Party Integrations

The App may integrate with third-party services:

• Firebase (Google) - authentication and database
• RevenueCat - subscription management
• Apple App Store / Google Play Store - app distribution

These services have their own terms and privacy policies which you should review.

13.2 No Endorsement

We do not endorse or control third-party services and are not responsible for their content, policies, or practices.

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict of law principles.

14.2 Informal Resolution

Before filing a legal claim, you agree to contact us at [email protected] to attempt to resolve the dispute informally.

14.3 Arbitration Agreement

YOU AND PAYMERN AGREE THAT ANY DISPUTE ARISING FROM THESE TERMS OR THE APP WILL BE RESOLVED THROUGH BINDING ARBITRATION, rather than in court, except that:

• You may assert claims in small claims court
• Either party may seek injunctive relief in court

14.4 Class Action Waiver

YOU AND PAYMERN AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION.

14.5 Arbitration Rules

• Arbitration will be conducted by the American Arbitration Association (AAA)
• The arbitration will take place in Georgia
• The arbitrator's decision is final and binding
• Each party pays their own arbitration costs

14.6 Opt-Out

You may opt out of this arbitration agreement by sending written notice within 30 days of first using the App to: [email protected]

15. Termination

15.1 Termination by You

You may stop using the App and delete your account at any time through the App settings.

15.2 Termination by Us

We reserve the right to suspend or terminate your access immediately, without notice, for:

• Violation of these Terms
• Fraudulent or illegal activity
• Harm to other users or the App
• Extended periods of inactivity

15.3 Effect of Termination

Upon termination:

• Your license to use the App ends immediately
• Your data may be deleted (subject to our Privacy Policy)
• Subscription fees are not refunded
• Provisions that should survive (disclaimers, limitations, indemnification) remain in effect

16. Geographic Restrictions

The App is intended for users in the United States. We make no claims that the App is appropriate or available for use outside the United States.

18. Export Controls

You agree to comply with all applicable export and import laws and regulations. You may not export or re-export the App except as authorized by United States law and the laws of the jurisdiction in which the App was obtained.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PayMeRN regarding the App and supersede all prior agreements and understandings.

20. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

21. Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

22. Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms without restriction.

23. Force Majeure

We are not liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
